All licensed skincare professionals (Physician, Nurse, Aesthetician, or Cosmetologist) who are approved resellers ("Resellers") of Face Reality's Products are eligible to participate in the Face Reality, LLC ("Face Reality") Product Credit Program (the "Program"). If you participate in the Program for your Reseller account with Face Reality (your "Account"), you accept the following Program Terms and Conditions (“Terms and Conditions”):

Eligibility and Enrollment

Membership is free and completely voluntary.  All Resellers who have a valid, fully-executed Supply Agreement ("Supply Agreement") with Face Reality are automatically enrolled in the Program unless you notify Face Reality that you would like to opt out of the Program. To opt out of the Program, or for any questions regarding the Program, please contact customer service at pros@facerealityacneclinic.com  or  call  866-477-3077.

Further, to participate you must be age 18 years or older and a resident of the United States. Membership in the Program is limited to Acne Expert individuals only and is limited to one account per individual.

 

Program Benefits

Participating Resellers will be listed on the "Cart" page on the Face Reality website at facerealityskincare.com. When a customer purchases Products directly from the Face Reality website, the customer will have an opportunity to select the Reseller's name from a dropdown menu before completing their purchase. Upon the date that an order is paid for, the Reseller will receive a credit towards Reseller's future purchase of Product ("Program Credit") equal to a percentage, determined by Face Reality at its sole discretion, of the total purchase price of the Products purchased by the customer, exclusive of shipping and taxes; provided, however, that the applicable percentage may be adjusted by Face Reality at any time at its sole discretion without prior notice to you. Program Credits from all customer purchases completed in a calendar month will be applied to your Account by the tenth (10^th) day of the following calendar month. You may use the Program Credits towards future orders of Face Reality Products at pros.facerealityskincare.com by entering your unique Program promotional code, to be provided to you by Face Reality. Program Credits earned for customer purchases that are returned, refunded, cannot be fulfilled, are cancelled or otherwise adjusted will be deducted from your Program Credit balance. Such deductions may result in a negative Program Credit balance, in which case, any subsequent Program Credits earned will be applied to reduce that  negative  balance.

 

Inactivity and Expiration

There is no limit to the amount of Program Credits you can earn for an Account. Program Credits earned but not used towards the purchase of Face Reality Products on pros.facerealityskincare.com will expire six (6) months after your last purchase. Your Account will be put in "Inactive" status and you will be removed from the dropdown menu on the "Cart" page on facerealityskincare.com. Resellers whose Accounts are placed in "Inactive" status may become Active again and re-enrolled in the Program upon placing an order at pros.facerealityskincare.com. However, any expired Program Credit will not be restored.

Use of Program Credits

When applying your Program Credits towards a purchase, you remain responsible for payment of all amounts owed over the value of the Program Credits applied. Program Credits may be used towards the purchase price of Products and the cost of shipping. Program Credits cannot be redeemed for cash or cash equivalent or applied to past purchases. Subject to the Return Policy set forth in the Reseller’s Supply Agreement with Face Reality, if you return Products purchased with Program Credits, the dollar value of the Program Credits allocated to the Product(s) returned will be credited to your Account by the tenth (10th) day of the following calendar month. However, any Program Credits used towards shipping costs will not be refunded or credited back to your Account. If your Account is in "Inactive" status, the dollar value of any Program Credits earned will be forfeited. All purchases and returns on pros.facerealityskincare.com are subject to the terms and conditions of the Reseller's Supply Agreement with Face Reality.

 

Program accounts and the associated credit are not transferable and are not for sale, resale or barter. Face Reality is not responsible for use of an account or redemption of a credit in the event the Acne Expert’s account is stolen and the account is used or the points are redeemed prior to the Acne Expert informing Face Reality that the Acne Expert’s account has been stolen.

 

Face Reality will not be liable for any loss or damage arising from failure to comply with these Terms and Conditions.

 

General Terms

Program Credits are not transferable to anyone else and may only be used by you for your personal benefit. You cannot combine your benefits with the benefits accrued by any other Program participant. Program Credits are not “gift certificates” and are not intended for gift-giving purposes.  Program credits may not be used to purchase gift cards. Program Credits have no cash value and are purely promotional. Program Credits cannot be used retroactively for prior purchases. Unless and until you apply the Program Credits towards a purchase on pros.facerealityskincare.com, you do not have any right, title, or interest in your Program Credits.

Once customer order is paid for esthetician selection cannot be added or changed.

 

Removal from or Modification/Termination of Program

We reserve the right to remove any person from the Program in the event of any fraud or abuse as determined in our sole discretion in connection with this Program. We reserve the right to change or terminate the Program, and amend or modify these Terms and Conditions, at any time and in any manner without notice.

Cancellation 

Acne Experts may cancel their participate in the Program at any time  by contacting pros@facerealityacneclinic.com or calling 866-477-3077. Upon cancellation, any unused credits accrued in the Member's account will be forfeited and cannot be redeemed.

No Warranty

Face Reality and each of its officers, directors, employees, and agents make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the program or any products or services related to such program.

Release of Liability

YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT YOUR PARTICIPATION AND USE OF THIS PROGRAM IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PROVIDED UNDER APPLICABLE LAW, FACE REALITY  SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES OR LOST PROFITS, IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THIS PROGRAM.

You release Face Reality and each of its officers, directors, employees, and agents from and against any and all liability relating to your membership or participation in the program or these terms and conditions.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

By joining this Program, you agree to be bound by the terms and conditions set forth in these Program rules. Except where prohibited by law, Face Reality reserves the right to cancel, modify, or restrict this Program or any aspect of the Program, including, without limitation, the point conversion ratio and the point expiration policy at any time. Any changes can be made without advance notice. Face Reality may make these changes even though such changes may affect the Member's ability to use credit already accumulated. Members are responsible for remaining knowledgeable about the Program Terms and Conditions. A Member's credit balance, as reflected in Face Reality's records, shall be deemed correct. Face Reality reserves the right to determine the amount of credit in any Member's account based on Face Reality's internal records related to such Member's account. In the event of an inconsistency between the amount accrued in a Member's account as stated on any Member's receipt and Face Reality's internal records, Face Reality's internal records will control. Face Reality assumes no responsibility for errors caused by incorrect Member information.

The sale of credits is prohibited and may result in the confiscation or cancellation of such Member's points as well as suspension or termination of your membership, which in each case shall be final and conclusive. Face Reality  may revoke any Member's membership in this Program at any time if such Member engages in abuse of the Program or fails to follow the terms and conditions of the Program. Fraud or abuse relating to the accrual of credit or redemption of rewards may result in revocation of membership in the Program and may affect a Member's eligibility for participation in any other Face Reality  program. Face Reality credits are non-transferable and cannot be redeemed for cash. No interest is paid credits  subject to applicable laws. Credit balances are not your property, and you have no property rights or other legal interest in them. All Credits remain the sole property of Face Reality  until redeemed. Your Credits balance or any part of it is not transferable, cannot be brokered, bartered, or sold, and cannot be divided as part of a settlement, legal proceeding or death, and cannot be combined with Credits of any other Participant or participant in the Program. If required under applicable state unclaimed property laws due to non-redemption of your Credits balance over time, we may transfer, report, or convey your Credits balance to a state agency. You should therefore redeem your Credits balance on a regular, continuing basis. We take no responsibility for any loss of Credits balances due to unclaimed property laws. The interpretation and application of the Program's Terms and Conditions are at the sole discretion and determination of Face Reality.

Any action arising out of the Program, including but not limited to a breach of these Terms and Conditions, shall be in AAA Arbitration in Fresno, California. The applicable law in such an action will be the law of the California, applicable to contracts entered into and to be wholly performed therein without regard to conflict of laws or choice of law principles.

Face Reality employees, as well as its subsidiaries, affiliates, suppliers, advertising and promotion agencies, employees’ immediate family members, etc., are ineligible participate in the Face Reality Loyalty Program.

Complete Agreement

These Terms and Conditions, together with your Supply Agreement (including, without limitation the “Governing Law” and “Dispute Resolution" (including the "Arbitration" provision) sections of the Agreement), make up the entire agreement between us relating to the Program, and replace any prior understandings or agreements (whether oral or written) regarding the Program. All capitalized terms not otherwise defined herein shall have the meanings given to them in the Supply Agreement.
